OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR TO WIN. PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. ALL FEDERAL, STATE, LOCAL, AND MUNICIPAL LAWS AND REGULATIONS APPLY. CONTEST IS OPEN ONLY TO LEGAL U.S. RESIDENTS 18 YEARS OF AGE OR OLDER. VOID IN PUERTO RICO AND WHERE PROHIBITED BY LAW. OFFERED ONLY IN THE UNITED STATES.

1. PROMOTION PERIOD: The entry period for the grand prize drawing begins on February 3rd, 2005 at 12:00:01 AM EST and ends on March 1st, 2005 at 11:59:59 PM EST.

2. TO ENTER: You may enter in one of four ways; 1) During the Promotion Period complete the online entry form by clicking here, entering the required information and clicking the "submit" button. Entrants must provide all information requested on the online entry form to be eligible. Incomplete entries are void. There is no purchase necessary to enter via this method. 2) You can also send in a 3x7 card to "Perfect Circle Sweepstakes" Wherehouse.com, 2230 Carson St., Carson, CA 90810. Entries must be postmarked no later than March 1st, 2005. 3) Visit any participating Wherehouse Music store and use our in-store Kiosk to enter by completing the necessary fields and submitting your entry electronically. 4) Visit any participating Wherehouse Music store for an official entry form, complete necessary fields and give to store employee to mail to Wherehouse.com or mail the form yourself to Wherehouse.com, 2230 Carson St., Carson, CA 90810. Limit one entry per customer. All entries become the property of Trans World Entertainment, Inc. and will not be returned or acknowledged. Trans World Entertainment assumes no responsibility for late, lost, incomplete, illegible, mutilated or misdirected entries, or for any human and/or electronic error, which may occur in the processing of the entries to this Sweepstakes.

3. ELIGIBILITY: The Sweepstakes is open to legal residents of the United States (excluding Puerto Rico) who are 18 years or older at time of entry. Sweepstakes is not open to employees of Trans World Entertainment Inc and EMICapitol Records, their affiliates, subsidiaries, advertising or promotional agencies, and the immediate family members of, and any persons domiciled with, such employees.

4. PRIZES: One (1) Grand Prize package includes: One signed & framed lithograph of the Perfect Circle CD cover artwork, a 150.00 value! (Total Value $150.00 for the lithograph, to have it signed by Maynard, priceless).

5. ODDS: The odds of winning depend on the number of eligible entries received.

6. WINNER NOTIFICATION AND ACCEPTANCE: Winners will be drawn on or about March 1st^th, 2005. Winners will be required to sign an affidavit of Eligibility and Publicity and Liability Release (except where prohibited by law) within 14 days of its receipt. Failure to sign and return the Affidavit or Release or to comply with any term or condition of these Rules may, at the sole discretion of, Trans World Entertainment, Inc. result in the Winner’s disqualification, the forfeiture of his or her interest in the prize and the award of the prize to an alternate winner. Winners may waive their right to receive a prize. Prize is non-assignable and nontransferable. No substitutions or cash for prizes. No rain checks. Winner is responsible for reporting and payment of any taxes on the prize.

6. PARTICIPATION: Participation in the Sweepstakes constitutes entrants' consent to the publication of his/her name and image in any media for any commercial or promotional purpose and an agreement by each entrant to comply with these Official Sweepstakes Rules. Trans World Entertainment, Inc. reserves the right to cancel or modify the Sweepstakes if it determines, in its sole discretion, that fraud or technical failures have destroyed the integrity of the Sweepstakes.

7. LIMITATIONS OF LIABILITY: By entering the Sweepstakes, entrant agrees that (1) any and all disputes, claims, and causes of action arising out of or connected with the Sweepstakes, or any prizes awarded, shall be resolved individually without resort to any form of class action; (2) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorney's fees, and (3) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages and other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

8. GENERAL RELEASE: By entering the Sweepstakes, entrants release Trans World Entertainment, Inc., EMICapitol Records and each of their respective affiliated companies, directors, officers, employees, representatives, partners and agents from any liability whatsoever for any claims, costs, injuries, losses or damages of any kind arising out of or in connection with the Sweepstakes or with the acceptance, possession or use of any prize (including, without limitation, claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light).

9. CONSTRUCTION AND DISPUTES: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any entrant and Trans World Entertainment, Inc., shall be governed by the laws of the State of California. As a condition of participating in the Sweepstakes, participant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with the Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively, by arbitration, located in Los Angeles County, California. Arbitration shall proceed under the rules of the American Arbitration Association then in effect.

10. WINNERS LIST AND OFFICIAL RULES: To obtain a copy of the winners list or a copy of these Official Rules, send your request along with a stamped, self-addressed envelope to "Perfect Circle Sweepstakes Rules" Wherehouse.com, 2230 Carson St., Carson CA 90810. Requests must be received no later than March 1st, 2005.

11. SPONSOR: The "Perfect Circle Sweepstakes Sweepstakes" is sponsored by Trans World Entertainment, Inc. and EMICapitol Records. Their decisions regarding the Sweepstakes are final and binding. Trans World Entertainment, Inc. is responsible for all decisions regarding the selection of winners.
